Membership Terms and Conditions
Types of Membership
The membership assembly consists of:
- Active Members: Active members only have the right to elect a candidate and vote in the general board meetings and sponsor the organization's finances and assets.
- Support Members: Support members do not have the right to elect or vote in the general board meetings. With reference to article (12 A) of the Statute, support members have the right of nomination for the governing body of the organization.
- Honorary Members: Honorary members do not have the right to vote in the elections or to participate in the organization's meetings or to take over managerial positions within the organization.
- Legal Person: Is the company or institution member in the organization, the demise of the legal person's membership from the organization by the end of his legal status, in addition to any other case from the membership termination case. And the legal person represents the organization through a normal person who is legally represented and a delegate for this purpose.
Member/Members: A legal or normal member according to the circumstances.
Membership Conditions and Rules
- Any legal person has the right to become a member in the organization if he/she meets the following conditions:
- An operating Jordanian company that is registered with the Ministry of Industry and Trade.
- To accept the objectives of the organization, and for members to show their professional commitment to a set of criteria:
- The obligation to pay taxes.
- The recruitment of Jordanians of both genders and work on improving their skills.
- A high degree of corporate governance.
- Commitment to corporate social responsibility.
- Follow the best standards with regards to the usage of energy, water, and show consideration of environmental dimensions.
- Take initiative towards encouraging creative work.
- To promote good conduct and behavior, and to achieve the requirements of the code of ethics for practicing the profession.
- To submit a request form for membership in accordance with the standard and model prepared by the board of directors.
- To approve the statute of the forum by a written signature.
- To pay the membership fee set by the forum and pay any other amounts incurred by the forum.
If the applicant meets the full membership requirements set out in the previous articles, then the application is reviewed by the board of directors and is accepted with the approval of five out of the seven members of the council.
The board of directors can approve people in some cases.
The board of directors has the right (on the condition that does not exceed half of the number of active members and members who paid all their fees set forth in these foundations) to accept natural or legal people with knowledge, competence, and high academic level to exempt them from the full fee of membership and subscription, in addition to determining the length of the membership for two years that is approved for renewal. In this case the new member enjoys all the rights of an active member.
The board of directors has the right, if the applicant for membership does not meet the full requirements of an active member (or other considerations that serves the organization's objectives) but has the ability and desire to qualify to become an active member in the future, the board can accept the applicant as a support member and renewal the support member's membership every two years.
- A juristic member should mention the person who represents him in person during the registration for the organization and he has the right to the change his representative but only with an official written and signed letter from the company. And for the representative of the active member the right to attend the general board meeting and has the ability to vote and elect during the meeting. The representative of the company should fulfill the following conditions:
1. The representative should be a partner or member who is active in the company and must hold a high title in the company.
2. The representative should be of good conduct and behavior.
3. The representative must not be convicted of any felony or misdemeanor.
- A support member can change his type of membership to an active member in the case were conditions are met, which is done through submitting a request of change form asking for the permission of the board of directors.
- Five board directors can grant a legal or normal person an honorary membership.
The membership applicant should accept the decision of losing his membership to the one of the reasons mentioned in the previous articles. The board of directors is not responsible for any decision made regarding the refusal of granting the membership or any other reason for losing the membership.
Membership Rights
- An active member is entitled to full membership rights, which include:
1. Attend regular and non-regular general board meetings, and vote on the proposed resolutions during the general board meeting.
2. Nomination for the board of directors membership.
3. Vote in the board of directors elections.
4. Participate in several of the organization's committees.
5. Participate in several of the organization's events.
- Support or Honorary members are not permitted to nominate themselves for governing body membership, but support or honorary members are entitled to the following rights:
1. Attend regular and non-regular general board meetings and participate in debates without the right to vote on proposed resolutions during the general board meeting.
2. Participate in several of the organization's committees.
3. Participate in several of the organization's events.
Membership Termination
• In the case of a member's non-payment of membership fees despite being notified of the due date through a written agreement, both membership and membership rights are suspended. If the member failed to pay the membership fee during a period of three months from time of the due date, the membership is terminated through a written letter issued by the board of directors.
• Any member has the permission to ask for a membership withdrawal through submitting a formal written request to the board of directors. Provided that the withdrawal written request must be submitted before December 30th, otherwise the member is required to pay the membership fees for the fiscal year which starts on January 1st.
• The board of directors are permitted to freeze or terminate the membership of any member in the case of losing one of the membership conditions, which include the liquidation of a member's company, its bankruptcy, or its end.
• The board of directors can freeze or terminate the membership of any member if the following conditions are not met; if the member causes any serious harm to the forum, whether it's material or moral damage, or a violation of the code of ethics adopted by the forum. And/or if a member takes advantage of joining the forum for personal gains when performing an official duty, and the issuance of a decision by the board of directors with the majority of five board members after the referral of the member to the disciplinary committee. The member has the right to object the decision made by the board of directors within a period of three months from the issuance date of the decision.
• A member does not have the right to retrieve fees and/or grants and/or donations given to the forum during the period of his/her membership, and cannot retrieve any other expenses incurred as a result of joining the forum.
Membership Retrieval
• The board of directors can recover the membership of a member whose membership was frozen or terminated because of failing to pay the membership fees or any other charges that are overdue for more than year if the member was able to pay the fees or charges owed to the forum.
• The board of directors can recover the membership of a member whose membership was frozen if he/she pledges through a formal written letter to not repeat the reasons for his/her frozen membership and with the approval of five board members on the member's membership recovery.
